Company operates the Site in order to allow Candidates to submit resumes and search for jobs, to allow Employer/Recruiters to search for potential Candidates (the "Services") and to make various publications and other information available to Affiliates. If you are using this Site, you are deemed to either be a Candidate, an Employer/Recruiter or an Affiliate and shall hereinafter be referred to as ("you") By accessing or using this Site, you are agreeing to be bound by these terms and conditions. If you do not accept the terms and conditions stated herein, do not access or use this Site. If you are an Affiliate, your use of the Site is subject to your formal agreement with Company and these Terms and Conditions of Use should be read in conjunction with that agreement. In the event of any contradiction between these Terms and Conditions of Use and the Agreement, the agreement shall govern.

General. These terms and conditions, shall be governed by the laws in force in the Province of Ontario, Canada without regard to the conflict of laws provisions therein. You irrevocably submit to the non-exclusive jurisdiction of the courts located in the Province of Ontario. You agree that the provisions of the United Nations Convention on Contracts for the International Sale of Goods shall not apply. If any provision hereof is held by a court of competent jurisdiction to be invalid, it shall be severed and the remaining provisions shall remain in full force without being invalidated in any way. The parties hereto are independent contractors. These Terms and Conditions of Use are not intended to create a partnership, joint venture, or agency relationship between the parties. Except for any agreements with Company that expressly reference these terms and conditions, this is the entire agreement between you and Company relating to the matters contained herein and shall not be modified except in writing by Company.
